Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the LedgerLoop website (the “Website”). By accessing or using this Website, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Website.

1. Electronic Communications

By using this Website and communicating electronically with us (for example, by email or through contact forms), you consent to receive communications from LedgerLoop in electronic form. This satisfies any legal requirement that communications be in writing. You agree that any notices, agreements, disclosures, or other communications that we provide electronically will have the same legal force as if we had provided them on paper.

2. Use of the Website

You may use the Website only for lawful purposes. In particular, you agree not to:

  • Violate any applicable laws or regulations in your use of the Website.

  • Engage in any unlawful, fraudulent or harmful conduct on or through the Website.

  • Transmit unsolicited or unauthorised advertising, promotional materials, spam, chain letters, or any other form of solicitation via the Website.

  • Upload, send or distribute any viruses, worms, Trojan horses, time bombs, keystroke loggers, spyware, adware or other malicious code designed to interfere with the operation of any user’s device, Website functionality or LedgerLoop’s systems.

Violation of these rules may result in termination of your access and could make you liable under applicable laws.

3. Intellectual Property

All content on the Website, including text, graphics, logos, images, software and other materials (collectively, the “Content”), is the property of LedgerLoop or its licensors and is protected by South African and international copyright, trademark and other intellectual property laws. You are granted a limited licence to access and use the Content on the Website for your personal, non-commercial use only. Any rights not expressly granted are reserved. You may not reproduce, distribute, display, or create derivative works from any Content without our express prior written permission.

4. Cookies and Analytics

We may use cookies and similar tracking technologies (and tools such as Google Analytics) to improve the Website and gather usage data. By continuing to use the Website, you consent to our use of cookies for these purposes. These cookies may collect non‑personal data about your visit. You can disable cookies, if they are in use, via your browser settings, but doing so may affect your experience.

5. Third-Party Links and Content

The Website may contain links to third‑party websites or services that are not owned or controlled by LedgerLoop. These links are provided for your convenience only. LedgerLoop does not endorse and has no control over the content, products or services on any linked site. Accordingly, LedgerLoop is not responsible for the content or practices of third‑party sites, and assumes no responsibility or liability for any loss or damage resulting from your access to or use of such sites. Any transactions or interactions you have with third parties accessed through the Website are solely between you and those third parties.

6. Contact Forms and Communications

Communications through our contact form or other means on the Website are for information purposes only and do not establish any binding engagement or professional relationship. Submission of an inquiry or form on our Website is a request for information or consultation and does not obligate LedgerLoop to provide any services. We are not required to respond to any particular inquiry submitted through the Website. Do not include any confidential, sensitive or proprietary information in your communications; any information you submit becomes non-confidential and may be used by LedgerLoop for any purpose. Furthermore, any pricing on the Website constitutes an invitation to do business and not a legally binding offer. Prices are also subject to change without notice.

7. Professional Advice Disclaimer

All Content on the Website is provided for general informational purposes only and should not be considered professional accounting, tax, or legal advice. LedgerLoop has not verified the completeness or accuracy of the Content and makes no representations or warranties about it. You should not rely on any Content on this Website for making decisions without consulting the appropriate professional advisers. Any reliance on the Content is at your own risk.

8. Disclaimer of Warranties; Limitation of Liability

You use the Website at your own risk. The Website and all Content are provided “as is” and “as available,” without any warranties of any kind. To the fullest extent permitted by law, LedgerLoop disclaims all warranties, whether express or implied, including any warranties of accuracy, completeness, timeliness, non-infringement, or fitness for a particular purpose. LedgerLoop does not guarantee that the Website will be error-free, secure, uninterrupted, or free from viruses or other harmful components.

In particular, LedgerLoop will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to loss of profits, data, business opportunities or other intangible losses, arising out of or in connection with your access to, use of, or inability to use the Website or any Content. This limitation applies even if LedgerLoop has been advised of the possibility of such damages, and even if any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend and hold harmless LedgerLoop, its officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt and expenses (including reasonable legal fees) arising from: (a) your use of the Website; (b) your violation of any term of these Terms; or (c) your violation of any rights of a third party. You will cooperate as fully as reasonably required in LedgerLoop’s defence of any claim. LedgerLoop reserves the right to assume the exclusive defence of any claim for which you are required to indemnify us.

10. Changes to These Terms

LedgerLoop reserves the right to modify, update or discontinue the Website (or any portion of it) or these Terms at any time, without prior notice. Any changes to the Terms will become effective immediately when posted on the Website. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, regardless of any conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Website shall be submitted exclusively to the courts of South Africa. LedgerLoop provides services only in South Africa; if you access the Website from outside South Africa, you do so on your own initiative and are responsible for compliance with local laws.

12. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the extent necessary to make it valid and enforceable, or severed from these Terms if no such modification is possible, and the remaining provisions will remain in full force and effect. LedgerLoop’s failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of that right or provision unless made in writing. Any waiver of any default or breach of these Terms will not be deemed a waiver of any subsequent default or breach.

13. Entire Agreement

These Terms constitute the entire agreement between you and LedgerLoop with respect to your use of the Website, superseding any prior or contemporaneous agreements between you and LedgerLoop.

14. Contact Information

If you have any questions about these Terms, please contact us by email at dylan.martens@ledgerloop.co.za or via the contact page on the Website.
